This End User License Agreement (“EULA”) is a legal agreement between you (an individual or the organisation you represent, “you”) and Generix Solutions Global (“Generix”) for the Bakvora software, including the installer, the application, the updater, related files and documentation, and any updates we provide (the “Software”). By installing, copying or using the Software, you agree to this EULA. If you do not agree, do not install or use the Software.
1. License grant
Subject to this EULA and payment of the applicable fees, Generix grants you a non-exclusive, non-transferable (except as stated in section 6), non-sublicensable license to install and use the Software in object-code form, for your internal business purposes, on the number of machines (physical or virtual Windows computers or servers) for which you hold a valid license, in the edition you purchased (Standard, Professional or Enterprise).
- Subscription licenses are valid for the paid term and any renewals.
- Perpetual licenses do not expire. They cover the version licensed plus updates released during your active maintenance period.
- Trial licenses are valid for 30 days on one machine, for evaluation only.
- Enterprise and partner licenses are subject to any additional terms in your order form or partner agreement.
2. Activation and license verification
The Software must be activated with a license key. Activation binds the license to a hardware fingerprint of the machine and requires periodic online validation with our license server. The information exchanged is described in our Privacy Policy and never includes your backup content. If validation is not possible for an extended period, or a license expires or is revoked, scheduled backups may pause until the license is valid again. Restoring existing backups remains possible.
3. Restrictions
Except as expressly permitted by this EULA or by law that cannot be excluded, you must not:
- use the Software on more machines than licensed, or share one license key across machines;
- copy, modify, translate or create derivative works of the Software;
- reverse engineer, decompile or disassemble the Software, except to the extent expressly permitted by applicable law;
- remove, bypass or tamper with activation, license checks, trial limits or copyright notices;
- rent, lease, lend, sell, sublicense or provide the Software as a hosted or managed service to third parties, unless you have a written partner/MSP agreement with Generix;
- use the Software in breach of law or to process data you have no right to process.
4. Updates
The Software can check for and install updates automatically; you can disable automatic checks in Settings. Updates are licensed under this EULA unless accompanied by different terms. Updates are provided while your subscription or maintenance is active.
5. Third-party components
The Software includes third-party components licensed under their own terms, including the Public Sans font (SIL Open Font License 1.1). Copies of these licenses are included with the Software and are accessible from within the application. Nothing in this EULA limits your rights under those licenses.
6. Transfer to new hardware
You may move a license to a replacement machine owned or controlled by you, provided the Software is removed from the original machine. Contact support@generix.solutions with your license key to release the activation. Frequent transfers intended to share a license are not permitted. Transfers to another organisation require our written consent.
7. Your data and responsibilities
The Software runs on your systems and writes backups only to destinations you configure. You are responsible for: selecting destinations and retention settings; safeguarding job encryption passwords (Generix cannot recover them or decrypt your backups); holding all rights and consents needed to back up the data you select; and regularly verifying that backups can be restored.
8. Limited warranty
For 30 days from purchase, Generix warrants that the Software will perform substantially as described in its documentation. Your exclusive remedy for a breach of this warranty is, at our option, correction of the defect or a refund of the license fee paid for the affected license. Otherwise, and to the maximum extent permitted by law, the Software is provided “as is”, without warranties of any kind, express or implied. Trial licenses are provided without any warranty.
9. Limitation of liability
To the maximum extent permitted by law, Generix is not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of data, profits, revenue or business interruption, arising from the use of or inability to use the Software, even if advised of their possibility. Generix’s total liability under this EULA is limited to the license fees you paid for the Software in the 12 months before the claim. Some jurisdictions do not allow these limitations, so they may not fully apply to you.
10. Termination
This EULA ends automatically if you breach it and do not remedy the breach within 15 days of notice, or when your subscription or trial ends without renewal. On termination you must stop using the Software (other than to restore existing backups) and uninstall it. Sections 3, 5, 7, 9 and 11 survive termination.
11. General
You must comply with applicable export-control and sanctions laws. This EULA is governed by the laws of Pakistan, and disputes are subject to the exclusive jurisdiction of the courts of [City], Pakistan. This EULA, together with the Terms of Service and your order, is the entire agreement regarding the Software. Translations are for convenience; the English version prevails.
